Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) are a legal agreement between you and Comber LLC (“Atrium,” “we,” “us”) governing your use of the Atrium portal at atriumportal.io (the “Service”). By creating an account, connecting a service, or otherwise using Atrium, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Atrium is a client-experience platform for architecture and design firms (“Firms”) to communicate project progress to their clients. It includes project timelines, approvals, messaging, document sharing, optional AI-assisted status summaries, and an optional read-only connection to QuickBooks Online for displaying invoice and payment status.

Subject to these Terms, Atrium grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes for the duration of your subscription. We reserve all rights not expressly granted.

You retain ownership of the content you and your clients submit to the Service (“Customer Content”). You grant Atrium a limited license to host, process, and display Customer Content solely to provide and improve the Service. You are responsible for having the necessary rights to your Customer Content and for its lawful use.

6. Third-party services and QuickBooks Online

The Service can connect to third-party services at your direction. If you connect QuickBooks Online, you authorize Atrium to access invoice and payment data on a read-only basis through the Intuit Accounting API in order to display billing status. Your use of QuickBooks Online remains governed by your agreement with Intuit. Atrium is an independent application and is not endorsed by or affiliated with Intuit Inc. Your use of any third-party service is at your own risk and subject to that provider’s terms. We handle connected data as described in our Privacy Policy.

7. Fees and payment

Paid features are billed on a subscription basis through our payment processor. Fees are stated at the time of purchase, are charged in advance, and are non-refundable except as required by law or expressly stated. We may change fees on prospective notice; changes take effect at your next renewal.

8. Termination and data export

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that risks harm to Atrium, its users, or third parties. Your Customer Content is yours: while your account is active, you can download a complete copy of your workspace (project records, messages, and document files) from your workspace settings at any time. On termination, your license ends and your workspace remains available for export for 90 days, after which we may delete your data as described in our Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Atrium does not warrant that the Service will be uninterrupted, error-free, or that data synced from third-party services will be complete or accurate. Atrium is not an accounting, tax, legal, or financial-advice service.

10. Limitation of liability

To the maximum extent permitted by law, Atrium and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Atrium’s total liability arising out of or related to these Terms will not exceed the amounts you paid to Atrium for the Service in the twelve months before the event giving rise to the claim.

11. Indemnification

You will indemnify and hold harmless Atrium from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Washington, unless applicable law requires otherwise.
